Please read these Terms of Service ("Terms", "Agreement") carefully before using the Halo mobile application ("App", "Service") operated by Halo ("we", "our", "us", or "Company").
These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Halo regarding your use of the App. By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not download, install, or use the App.
1. Acceptance of Terms
By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Halo.
2. Eligibility and Age Requirements
You must be at least 13 years of age to use this App. If you are between the ages of 13 and 18 (or the age of majority in your jurisdiction), you represent and warrant that:
- You have your parent's or legal guardian's permission to use the App
- Your parent or guardian has reviewed and agreed to these Terms on your behalf
- Your parent or guardian is responsible for your use of the App
By using the App, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into this Agreement. If you do not meet these requirements, you must not use the App.
3. App Features and Services
The App provides digital wellness tools including:
- Screen time tracking and monitoring
- Focus Zones with location-based app blocking
- Daily goals and streak tracking
- Notification reminders
We reserve the right to modify, suspend, or discontinue any feature of the App at any time, with or without notice, at our sole discretion. We do not guarantee that the App will be available at all times or that any specific feature will remain available.
The App is provided for informational and self-improvement purposes only. Results may vary based on individual usage and commitment.
4. User Responsibilities
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the App in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to the App or its systems
- Interfere with or disrupt the App or servers
- Use the App to transmit viruses or malicious code
- Reverse engineer, decompile, or disassemble the App
- Use the App while driving or operating machinery
5. Device Permissions
The App requires certain device permissions to function properly:
- Location Services: Required for Focus Zone geofencing
- Screen Time (iOS): Required for app blocking and usage tracking
- Notifications: Required for reminders and alerts
- Accessibility Services (Android): Required for app blocking
You can revoke these permissions at any time through your device settings, though this may limit App functionality.
6. Intellectual Property
The App, including all content, features, and functionality, is owned by Halo and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.
You may not:
- Copy, modify, or distribute the App
- Use our trademarks without written permission
- Create derivative works based on the App
7. In-App Purchases and Subscriptions
The App may offer in-app purchases and subscriptions through the Apple App Store. If you make an in-app purchase or subscribe to a service:
- Payment will be charged to your Apple ID account at the confirmation of purchase
- Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
- Your account will be charged for renewal within 24 hours prior to the end of the current period
- You can manage and cancel your subscriptions by going to your Apple ID account settings after purchase
- Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription
- Prices are subject to change with notice
All purchases are final. Refunds are handled in accordance with Apple's App Store refund policy. To request a refund, please contact Apple Support directly through your Apple ID account settings or at https://support.apple.com.
If you have any billing questions or issues, please contact Apple Support, as all transactions are processed by Apple, not by us.
8. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:
- The App will be uninterrupted, timely, secure, or error-free
- The App will meet your specific requirements or expectations
- Results from using the App will be accurate, reliable, or effective
- Any errors or defects in the App will be corrected
- The App is free of viruses or other harmful components
THE APP IS A DIGITAL WELLNESS TOOL INTENDED FOR INFORMATIONAL AND SELF-IMPROVEMENT PURPOSES ONLY. IT IS NOT INTENDED TO BE, AND DOES NOT CONSTITUTE, PROFESSIONAL MEDICAL, PSYCHOLOGICAL, PSYCHIATRIC, OR THERAPEUTIC ADVICE, DIAGNOSIS, OR TREATMENT. THE APP IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL OR MENTAL HEALTH CARE. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL OR MENTAL HEALTH CONDITION.
We do not guarantee that using the App will result in any specific outcomes, improvements, or changes in your behavior or digital habits.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HALO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or use
- Business interruption or loss of business opportunities
- Personal injury or property damage
- Costs of substitute services
- Any other damages arising out of OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US FOR THE APP OR IN-APP PURCHASES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless Halo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the App
- Your violation of these Terms
- Your violation of any rights of a third party
11. Termination
We may terminate or suspend your access to the App at any time, without prior notice, for any reason, including if you breach these Terms. Upon termination:
- Your right to use the App immediately ceases
- Your local data remains on your device until you uninstall the App
- Provisions that should survive termination will remain in effect
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, providing additional notice within the App. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may assert claims in small claims court if your claims qualify. The arbitration shall take place in San Francisco, California.
You agree to waive any right to a jury trial and to participate in a class action lawsuit. If any part of this arbitration provision is found to be unenforceable, the remainder shall remain in full force and effect.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Apple App Store Terms
If you downloaded the App from the Apple App Store, the following additional terms apply:
- These Terms are between you and Halo, not Apple
- Apple is not responsible for the App or its content
- Apple has no obligation to provide support or maintenance for the App
- If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you
- Apple is not responsible for addressing any claims relating to the App, including product liability claims, intellectual property claims, or consumer protection claims
- In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary
- You must comply with all applicable third-party terms of agreement when using the App (e.g., your wireless data service agreement)
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us in the App, constitute the entire agreement between you and Halo regarding your use of the App and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Halo.
